These Terms of Use and Disclosures ("Terms") govern your access to and use of the website of Solène Capital Management LLC (d/b/a Solène Capital) ("Solène") and any materials made available through it (the "Site"). By using the Site or requesting access, you agree to these Terms.

Adviser Status

Solène Capital Management LLC is an exempt reporting adviser that files reports with the U.S. Securities and Exchange Commission and the Tennessee Department of Commerce & Insurance, Securities Division. Exempt reporting adviser status does not constitute registration with, or approval by, the SEC or any state securities authority. Our filings are publicly available at adviserinfo.sec.gov.

Eligibility & Access by Invitation

The Site, and in particular any non-public materials, is made available by invitation to persons who qualify as "accredited investors" as defined in Rule 501(a) of Regulation D. Access is granted at Solène's discretion and may be declined or revoked at any time.

No Offer or Solicitation

Nothing on the Site constitutes an offer to sell, or a solicitation of an offer to buy, any security, nor investment, legal, tax, or accounting advice. Any offer of securities will be made only through definitive offering documents provided to eligible investors, and only in jurisdictions where lawful. By requesting or accepting access to confidential materials, you represent that you are an accredited investor, that the information you provide is accurate, and that you have a pre-existing, substantive relationship with Solène or its principals.

Confidentiality & Non-Circumvention

Materials made available behind the access gate are confidential. You agree not to disclose, reproduce, or use them other than to evaluate a potential investment, and not to circumvent Solène in any transaction to which it introduces you. These obligations supplement, and do not replace, any separate confidentiality agreement you accept.

Limitation of Liability

Indemnification

You agree to indemnify and hold harmless Solène and its affiliates from any claims arising out of your breach of these Terms or misuse of the Site.

Governing Law

These Terms are governed by the laws of the State of Tennessee, without regard to conflict-of-laws principles, and the courts located there will have exclusive jurisdiction.
